I the undersigned (SR) understand and agree to the following:

This is a conditional agreement which will become complete when signed, in the near future, by myself and A Loyalty Card (the parties) but not later than 30 days ( Friday, December 20th, 2024 ) from today (Wednesday, November 20th, 2024)

It is mutually agreed as follows:

Non-exclusive sales representative status

A Loyalty Card hereby grants to SR the non-exclusive rights to solicit orders for the System within the Territory.

Territory and Customers

SR shall have the right to solicit orders for merchant participation in the System from any potential customer located within the Territory, except those potential customers or classes of customers, if any, described in Exhibit B attached hereto.( There are none to date)

Term of this agreement

This Agreement shall continue in full force and effect until that date (Termination Date) set forth in a notice given by one party to the other indicating such party=s election to terminate this Agreement, which Termination Date shall be at least 3 days after the date of the notice in which such election is given.

Pricing and Terms of Sale

A Loyalty Card shall have the absolute right to establish the prices, charges and terms governing the marketing of the System (collectively the Sales Policies).

Commissions

Commissions are calculated as a percentage of the relevant earnings the stores and businesses that SR has produced as agent for the company.

Governing Document

The completed contract, to be signed at a later date shall be the governing document for this relationship between the parties.

I hereby authorize the A Loyalty Card, hereafter called the COMPANY, to initiate credit or debit entries to my account indicated below at the depository financial institution named below, hereafter called DEPOSITORY. I acknowledge that the origination of ACH transactions to my account must comply with the provisions of U.S. laws.

Recurring Debits and/or Credits: Periodic credits and debits for services.

Amounts of Debits:

Per transaction the Debits shall not exceed the amount equal to: 10% of original transaction and may not exceed $ 250.00 US if the 10% discount equals to more than $250.00 US.

This Authorization is to remain in full force and effect until COMPANY has received written notification from the party below of it's termination in such time and in such manner as to afford COMPANY and DEPOSITORY a reasonable opportunity to act on it .
